    Коммерческая деятельность компании в тот период, когда у нее уже нет возможности избежать ликвидации (liquidation) по причине неплатежеспособности. Ликвидатор компании может просить суд вынести распоряжение, требующее от директора компании, вступившей в стадию ликвидации по причине неплатежеспособности, пополнить активы компании. Если директор знал или обязан был знать о положении компании, суд имеет право приказать директору пополнить активы компании в любой форме, которую суд сочтет подходящей.     Under UK insolvency legislation, if a company goes into insolvent liquidation, a director will be liable for wrongful trading (and liable to contribute personally to the company's losses) if, at some time before the commencement of the winding up, the director knew or, perhaps more significantly, ought to have concluded that there was no reasonable prospect that the company would avoid going into insolvent liquidation but continued to trade in any event.

В том числе принятие от клиентов денег, в то время как компания не может выплатить свои долги и выполнить обязательства по контракту. Ликвидатор компании может потребовать от суда принятия решения о том, чтобы любое лицо, участвовавшее в мошеннической профессиональной деятельности, внесло такую компенсацию в активы компании, которую суд сочтет необходимой. Таким образом, должностное лицо компании может понести личную ответственность за часть ее долгов. В данном случае “мошенничество” может подразумевать как настоящий обман, так и моральную нечестность; использование его в качестве основного пункта обвинения ограничивает эффективность судебного преследования, поскольку хорошо известно, сколь трудно доказать “нечестность”.     (директор) Лицо, назначенное осуществлять повседневное (текущее) управление компанией. Публичная компания должна иметь по меньшей мере двух директоров, для частной компании достаточно одного. Директора компании, в совокупности называемые советом директоров (board of directors), обычно действуют совместно, хотя исполнительными полномочиями по уставу компании могут быть наделены только один или несколько директоров; особенно часто значительной исполнительной властью наделяется управляющий директор (managing director). Освобождение директоров от занимаемой должности производится на основе обычной резолюции, принимаемой общим собранием акционеров, заранее получивших специальные уведомления об этом пункте повестки дня, вне зависимости от того, закончился или нет срок действия их договора личного найма (service contract). Директора могут быть дисквалифицированы за мошенническую или неправомерную профессиональную деятельность (fraudulent trading или wrongful trading) либо за другие действия, которые несовместимы с управлением компанией. Вознаграждение директоров состоит из жалованья и, в некоторых случаях, директорских премии (directors fees), выплачиваемых им за пребывание в должности директора, и предусмотренных расходов, т.е. сумм, возмещающих их расходы, связанные с их службой. Вознаграждение директоров должно быть отражено в отчетности компании и показано отдельно от любых выплат пенсий или компенсации за отставку (compensation for loss of office).
